SINERGIA OS Terms of Service

Introduction and Agreement

These Terms of Service (the "Terms") are an agreement between you and Sigue Tu Imaginacion LLC, doing business as SINERGIA OS ("SINERGIA," "we," "us," or "our"). They govern your access to and use of the SINERGIA OS websites, authenticated artist studio, Artist DNA, PULSO, FANBASE, SUBELO!, .WAVES, Sinergia Assist, and other features we make available (collectively, the "Service").

By creating an account, purchasing a membership, or using the Service, you agree to these Terms and acknowledge the Privacy Policy. If you use the Service for a company, team, or other organization, you represent that you have authority to bind that organization. If you do not agree, do not use the Service.

1. Public Beta and Eligibility

The Service is currently a public beta. Artists may create an account and use the Access membership without an invitation or payment method. Features may still be limited by membership, capacity, territory, account type, or current availability and may change as the beta develops.

You must be at least 18 years old and legally able to enter into a binding contract. The Service is not directed to children. You may use the Service only where doing so is lawful.

2. Accounts and Security

You must provide accurate account information and keep it reasonably current. Authentication may be provided through Auth0 and login methods such as email or a connected account.

Keep login codes, devices, and account access secure. Do not share one-time codes or allow unauthorized access. Notify us promptly at support@sinergiaos.com if you believe your account has been compromised.

Where team or collaborator access is available, the account owner controls invitations and permissions and is responsible for granting access only to authorized people. You are not responsible for unauthorized activity caused by our failure to use reasonable security measures.

3. Your Artist Content and Ownership

"Artist Content" means music, audio files, lyrics, artwork, metadata, names, images, notes, Artist DNA, collaborator information, release information, audience or contact data imported into FANBASE, messages, and other materials you or your authorized users submit to the Service.

You retain ownership of your Artist Content. SINERGIA does not acquire ownership of your masters, compositions, lyrics, artwork, name, likeness, catalog, Artist DNA, or other creative rights merely because you use the Service.

You represent that you have the rights, permissions, and lawful basis needed to upload and process your Artist Content, including any samples, features, collaborator information, artwork, and personal information belonging to others. Do not upload government identifiers, full payment-card information, health records, account passwords, or other highly sensitive information unless a feature specifically and lawfully requests it.

FANBASE audience or contact lists remain your Artist Content, and SINERGIA does not claim ownership of them. If you import audience or contact data, you are responsible for having the necessary rights, permissions, and lawful basis to use it. You must not upload data that is unlawfully obtained, scraped, purchased, or otherwise unauthorized, and you remain responsible for preserving applicable notice, consent, unsubscribe, suppression, and deletion requirements for the people in your lists.

4. Limited License to Operate the Service

You grant SINERGIA a non-exclusive, worldwide, royalty-free license to host, store, copy, transcode, process, analyze, display privately, and create requested outputs from your Artist Content only as reasonably necessary to provide, secure, maintain, and support the Service and the features you choose to use.

For FANBASE, this may include storing, organizing, analyzing, deduplicating, and privately displaying imported audience or contact data within your artist studio.

This license may be sublicensed only to service providers, contractors, team members, and recipients needed to perform those functions or carry out your sharing instructions. It lasts only while the relevant Artist Content is stored or processed, subject to limited backup, security, legal, and dispute-retention periods described in the Privacy Policy.

This license does not authorize SINERGIA to publicly release, distribute, sell, license, advertise with, synchronize, mint, tokenize, train models on, or otherwise commercially exploit your private Artist Content unless you separately request or expressly agree to that activity under additional terms.

5. Privacy, Private Content, and Sharing

Artist Content is private by default unless you choose to share or publish it through an available feature. Uploading a song does not make it public.

Private review links are controlled by the link. Anyone who receives a working link may be able to open it and may forward it. You are responsible for choosing recipients and revoking access when that option is available.

Authorized personnel and service providers may access Artist Content only when reasonably necessary to operate, secure, troubleshoot, or support the Service, comply with law, prevent harm, or follow your instructions. Our collection and handling practices are described in the Privacy Policy.

6. Audio Analysis, AI Assistance, and Outputs

The Service may transcribe audio, estimate BPM or key, organize metadata, summarize career signals, suggest descriptions, and generate other working outputs. These results can be incomplete, inaccurate, non-unique, or unsuitable for a particular release. Detected and generated information must remain reviewable, and you are responsible for final approval before relying on it.

SINERGIA does not provide legal, copyright-clearance, publishing, royalty, accounting, tax, investment, medical, or professional distribution advice. Uploading content is not delivery to a distributor or DSP, copyright registration, publishing administration, royalty collection, rights clearance, or a guarantee of release performance.

As between you and SINERGIA, and to the extent allowed by law, you may use outputs generated specifically for your account. SINERGIA retains its rights in the Service, software, templates, branding, and underlying systems. Similar or identical outputs may be generated for others, and we do not guarantee that any output is copyrightable or exclusive.

SINERGIA will not use private Artist Content, lyrics, metadata, or reports—and will not intentionally authorize a processing provider to use them—to train general-purpose AI models or SINERGIA models without a separate, clear, affirmative opt-in. To honor this commitment, unreleased audio must be processed through an applicable no-training configuration, contractual protection, or alternative local or server-hosted path. Declining an optional training opt-in will not remove access to the ordinary beta features offered at that time.

7. Third-Party Services and Data

The Service relies on third parties for functions such as authentication, hosting, storage, audio processing, transcription, analytics, and optional AI assistance. Current providers may include Auth0, Vercel, Supabase, Modal, ElevenLabs, OpenAI, Spotify, SongStats, and connected login or integration providers.

When you connect a third-party account or request an integration, you authorize us to access and use the information needed to provide that feature. Third-party terms and privacy notices may also apply. You may disconnect an integration where the Service provides that option.

Third-party artist, audience, streaming, social, or catalog data may be delayed, incomplete, estimated, or inaccurate. SINERGIA does not control third-party platforms and is not responsible for their independent acts, outages, or policy changes, except where applicable law provides otherwise.

8. Acceptable Use

You may not use the Service to:

  • violate law or the rights of another person;
  • upload content you do not have permission to use;
  • impersonate an artist, collaborator, rights holder, or other person;
  • harass, exploit, threaten, or abuse others, including minors;
  • create or distribute deceptive voice clones, impersonations, or synthetic media without appropriate consent and disclosure;
  • introduce malware, probe security, bypass access controls, or access another account without permission;
  • scrape, overload, disrupt, or misuse the Service or its providers;
  • reverse engineer the Service except where applicable law expressly permits it; or
  • use the Service for fraud, spam, unlawful surveillance, or other harmful conduct.

We may investigate suspected misuse and take proportionate action, including limiting features, removing content, or suspending access.

9. Copyright Complaints

SINERGIA respects copyright and may remove or disable access to content that is alleged to infringe. A copyright owner or authorized agent may send a notice to support@sinergiaos.com containing: identification of the copyrighted work; identification and location of the allegedly infringing material; contact information; a good-faith statement that the disputed use is not authorized; a statement under penalty of perjury that the notice is accurate and the sender is authorized to act; and a physical or electronic signature.

We may notify the affected user and accept a legally valid counter-notice. We may terminate repeat infringers in appropriate circumstances. Our designated-agent information, once registered, will be published at https://sinergiaos.com/dmca.

10. Beta Availability, Changes, and Backups

Beta features may contain errors, change materially, experience delays, or become unavailable. We may add, modify, limit, or discontinue beta features, but we will use reasonable efforts to give notice of material changes that significantly affect stored Artist Content or account access.

The Service is not your sole archive. Keep independent copies of masters, stems, artwork, lyrics, contracts, metadata, and other important materials. We do not guarantee permanent storage or uninterrupted access.

11. Memberships, Billing, Cancellation, and Refunds

Access is the free membership and does not require a payment method. Pro is a paid membership offered at the price and billing period shown before purchase. At launch, Pro is offered for US $29 per month or US $75 every three months, before any applicable taxes. We will not charge you without presenting the applicable price and obtaining your authorization.

Pro renews automatically at the selected monthly or quarterly interval until canceled. You may cancel at any time through Billing in your studio. Cancellation stops the next renewal but does not ordinarily refund the current period. Pro remains available through the date already paid for, then the account automatically moves to Access.

For a first Pro purchase, you may request a full refund within 14 calendar days after the successful charge. For a later renewal charge, you may request a full refund within 7 calendar days after that charge if there has been no substantial Pro use since renewal. Ordinary exploration does not disqualify a request. We may review clear abuse, including repeated purchase-and-refund cycles, coordinated use of multiple accounts, bulk extraction or exports, or unusually costly processing intended primarily to obtain value before a refund.

After the applicable refund window, payments are non-refundable and are not prorated. We will correct duplicate charges, billing errors, and unauthorized payments and provide any refund required by applicable law. Mandatory consumer rights in your location take priority over this general policy.

Request a refund from the email address associated with your SINERGIA account by writing to support@sinergiaos.com. Include the account email and charge date, but never send a complete card number or security code. We will generally acknowledge the request within 2 business days and decide it within 5 business days. An approved full refund immediately ends Pro access and moves the account to Access. Stripe returns the money to the original payment method; the financial institution may take approximately 5–10 business days to display it.

We may change Pro pricing for a future renewal after providing reasonable advance notice. A price change does not alter a period already paid for.

Distribution, label services, royalty collection, payments, wallets, stablecoins, NFTs, financing, marketplaces, and other regulated or commercial services are not included under these beta Terms unless we present separate terms for that feature.

12. Suspension, Termination, and Deletion

You may stop using the Service at any time and may delete available content through the Service or request account deletion at support@sinergiaos.com.

We may suspend or terminate access when reasonably necessary for a material breach, security risk, suspected fraud, legal requirement, harm to others, or discontinuation of the beta. When practical, we will provide notice and a reasonable opportunity to correct a curable issue. We may act immediately when delay could create legal, security, or safety risk.

When feasible and lawful, we will provide a reasonable opportunity to export important account information before a non-urgent termination. Deletion and retention are handled as described in the Privacy Policy. Provisions that by their nature should survive termination will survive, including ownership, limitations, dispute terms, and responsibilities for prior conduct.

13. Feedback

You may provide feedback voluntarily. You grant us permission to use that feedback to improve SINERGIA without payment or restriction, but this permission does not include your Artist Content, unreleased music, confidential materials, or personal information.

14. SINERGIA Intellectual Property

SINERGIA and its licensors own the Service, software, interfaces, documentation, branding, and related intellectual property, excluding your Artist Content and third-party materials. We grant you a limited, non-exclusive, revocable right to use the Service for its intended artist and team workflows during your authorized access. No other rights are granted.

15. Disclaimers

To the maximum extent permitted by law, the public beta is provided "as is" and "as available." We do not guarantee that the Service will always be available, error-free, secure, or accurate, or that it will produce particular creative, commercial, audience, distribution, or financial results.

Nothing in these Terms excludes warranties or consumer rights that cannot lawfully be excluded.

16. Limitation of Liability

To the maximum extent permitted by law, neither party will be liable to the other for indirect, incidental, special, exemplary, punitive, or consequential damages, or for lost profits, revenues, goodwill, or opportunities, arising from the Service, even if advised that such damages were possible.

Except for liabilities that cannot lawfully be limited, each party’s total aggregate liability arising from the Service will not exceed the greater of the amount you paid SINERGIA for the Service during the 12 months before the event giving rise to the claim or US $500.

These limitations do not apply to fraud, willful misconduct, gross negligence, death or personal injury caused by negligence, or infringement or misappropriation of the other party’s intellectual property rights.

17. Responsibility for Third-Party Claims

You are responsible for reasonable third-party claims, damages, and costs, including reasonable legal fees, to the extent caused by Artist Content you lacked the right to upload, your intentional unlawful conduct, or your material violation of these Terms. This does not apply to claims caused by SINERGIA’s conduct.

We will give prompt notice of a covered claim and reasonable cooperation. You may control the defense, but you may not settle a claim in a way that admits fault by SINERGIA or imposes obligations on SINERGIA without our written consent.

18. Governing Law and Disputes

These Terms are governed by the laws of the State of Florida, without regard to conflict-of-law rules, except to the extent mandatory law in your location applies.

Before filing a lawsuit, each party will make a good-faith effort for at least 30 days to resolve the dispute informally by written notice. If it is not resolved, the parties consent to the state or federal courts located in Osceola County, Florida. These Terms do not require mandatory arbitration and do not waive non-waivable consumer rights.

19. Changes to These Terms

We may update these Terms as the Service changes. We will post the revised Terms and update the effective date. For material changes, we will provide reasonable advance notice, generally at least 30 days, unless a faster change is needed for law, security, safety, or a new feature you separately choose to use.

A change will not retroactively expand our rights to private Artist Content or authorize model training without a separate affirmative opt-in. If you do not accept revised Terms, you may stop using the Service before they take effect.

20. General Terms

These Terms and the Privacy Policy are the entire agreement for the Service unless a feature presents additional terms. If a provision is unenforceable, the remaining provisions remain effective. A failure to enforce a provision is not a waiver.

You may not assign these Terms without our consent. We may assign them as part of a merger, financing, reorganization, or sale of the relevant business, provided the successor remains bound by these Terms and the Privacy Policy for existing Artist Content.
